Invest in anew chapter.

For Toronto applicants, EB-5 planning brings together qualifying capital, job creation, family immigration and independent investment review. Start with the whole process before choosing a project or setting a relocation date. Order matters more here than in shorter routes, because several steps cannot be undone. Documenting the lawful source and path of funds should begin before money moves; independent review of offering terms belongs before subscription documents are signed; and the record-keeping that supports the later petition to remove conditions has to start when the investment does, not when that petition is due.

IN THIS GUIDE · The complete EB-5 planning sequence

01

Check the investment framework

EB-5 requires a qualifying investment in a new commercial enterprise and at least ten qualifying full-time jobs. Current capital thresholds are US$1,050,000 generally or US$800,000 for qualifying targeted employment area or infrastructure investments. The lower figure needs supporting eligibility evidence; it is not a discretionary discount. Confirm the rules applicable when filing, especially for a future investment.

02

Separate the two investment routes

A standalone petition and an investment through a regional centre require different enterprise and job evidence. Standalone cases generally establish direct employment; regional-centre cases can use qualifying indirect-job methodologies subject to statutory restrictions. Neither arrangement removes the need to document the investor’s lawful funds. Ask who will supply the business evidence and maintain it throughout the immigration process.

03

Plan beyond petition approval

An approved investor petition is one stage. Immigrant visa processing, or adjustment of status if eligible, involves separate requirements and visa availability. EB-5 residence is initially conditional, with a later petition to remove conditions. Keep capital and job records from the beginning so the later filing does not depend on reconstructing a project’s history years after decisions were made.

04

Review money and immigration separately

A project may present commercial risks even when its immigration documentation is well prepared. Obtain independent review of offering terms, fees, use of funds, related companies and exit restrictions. Regional-centre designation does not endorse an investment. A promised return, repayment date or immigration outcome should never replace examination of the actual agreements and the evidence supporting eligibility.

05

Steps that cannot be taken out of order

Tracing capital comes first, and it is the step most often left until last. A chronology showing lawful earnings or asset proceeds, taxes paid, account holders and each transfer is far easier to build while the records are current than to reconstruct after funds have moved through intermediaries. Independent commercial and legal review of any offering comes next, because subscription and escrow terms usually restrict withdrawal once executed; reviewing them afterwards produces advice nobody can act on. Only then does deployment belong on the calendar. Job-creation evidence has its own starting point: agree at the outset who will collect payroll, contracts and cost records, since the enterprise generates that material as it operates and cannot manufacture it later. Family document work runs alongside, and children’s ages should be assessed before filing dates are chosen.

06

What a reversed sequence costs

Reversing two of those steps is what usually forces expensive rework. Hypothetical example: An investor commits capital to a new commercial enterprise building a wealth-reporting platform, signs the subscription documents, and only afterwards asks counsel to assemble the source-of-funds chronology. Part of the money passed through a relative’s account and a business sale whose supporting records were never kept, so the file now has to explain a path that could have been documented cleanly in advance — and the terms already signed limit what can be restructured. Sequence the work so that nothing irreversible happens before the evidence exists: complete the tracing, obtain independent review, confirm who owns the job-creation records, and only then execute. Capital must also remain at risk for the required period, so an arrangement promising repayment is incompatible with the requirement rather than a useful safeguard.
