IN THIS GUIDE · Property or business sale proceeds as capital
Start with the E-2 eligibility and application overview
Establish the asset and ownership
Identify what was sold and the investor’s ownership interest before the sale. Property and business dispositions produce different records, but both require a coherent explanation of entitlement to the proceeds. Joint ownership, corporate sellers and third-party payouts should be described accurately rather than treating the entire transaction value as the investor’s personal money.
Reconcile gross price with net proceeds
Use the executed sale and closing records to explain debt payouts, transaction expenses, retained amounts and the final distribution. The balance arriving in the investor’s account may differ materially from the headline price. Show that reconciliation rather than leaving a large unexplained gap between the contract and the funding statement.
Follow the invested portion onward
Trace net proceeds through any currency conversion and intermediary accounts to the enterprise, seller or vendors. If some funds remain for housing or living costs, identify them separately. Avoid counting the same capital on receipt, transfer and payment as three investments. The final commitment still requires evidence of commercial risk.
Keep disposition planning independent
Selling an asset does not guarantee E-2 qualification or determine tax treatment. The business must still meet nationality, control, substantiality and operating requirements. Review any financial or tax consequences with appropriate professionals while keeping the immigration explanation limited to the actual source, possession, movement and commitment of funds.
Who can settle each disputed number
Gaps between a headline sale price and the sum reaching the enterprise are settled by whoever holds the record that explains them, and asking the wrong person yields an estimate instead of evidence. Discharge amounts come from the lender, agency and legal costs from the closing file, and any holdback from the executed agreement itself. Hypothetical example: an investor funding a SaaS analytics venture asks an accountant to reconcile a shortfall the accountant never saw, and receives a plausible reconstruction that the closing statement afterwards contradicts. A reconstruction offered in good faith is still not a record. Name the custodian, request the document, and let the reconciliation follow the paper rather than the recollection.
Two roles the investor cannot delegate
Two things stay with the investor personally. The capital committed must be the investor’s own, irrevocably committed and genuinely at risk, which no adviser can arrange on the investor’s behalf; and the investor must develop and direct the enterprise, which describes what the person actually does rather than a title on a share register. A manager may run daily operations, but direction and control cannot be handed over wholesale without undermining the basis for the classification. Where a family member, partner or consultant is in fact doing the deciding, describe that arrangement plainly and let counsel assess it. A structure built for convenience and then described inaccurately is the version that fails on examination.
