Legitimate sale proceeds can provide capital, but the applicant must explain ownership, lawful source, possession and control, and how the invested portion is committed to the enterprise. The gross sale price is not automatically the investment amount.
Trace entitlement and net receipts
Use sale and closing records to account for debt repayment, other owners and transaction adjustments. Continue the trail from the investor’s net proceeds to the U.S. business commitment.
Separately establish treaty nationality, development and direction, and the enterprise requirements. A completed sale supplies funding evidence; it does not itself establish E-2 eligibility. Verification is not a single job.
Lawful source is verified from records the investor controls; entitlement to proceeds is verified by the party that held title; arrival of the money is verified by the receiving institution; and whether a commitment is irrevocable and at risk is a legal assessment nobody at a bank can make. Assigning all of it to one adviser produces a file of confident summaries with thin support beneath them. Hypothetical example: an investor buying into a managed cybersecurity services business asks a broker to confirm that the capital is at risk, and the broker confirms the transfer instead; the answer given concerns movement, not risk, and the requirement remains unaddressed.
