IN THIS GUIDE · U.S. change of status versus consular visa planning
Start with the E-2 eligibility and application overview
Start with location and current status
USCIS describes a possible Form I-129 change-of-status route for an eligible treaty investor already in lawful U.S. nonimmigrant status. An investor outside the United States does not request E-2 classification on that form and generally follows the consular visa process. Assess the actual circumstances rather than selecting a route solely for perceived speed.
Separate ownership from permission to work
Forming a company or investing does not itself authorize the investor to perform U.S. work. Review proposed activities under the person’s current status while an E-2 request is being prepared or considered. Do not assume that filing a request grants permission to begin managing operations or cures an earlier status issue.
Understand what an approval provides
A USCIS change of status is not a visa stamp for a later international trip. Future travel may require a consular E-2 visa application and admission review. Keep the business evidence available for that process, and obtain advice before departure if a change request is pending or the travel affects the chosen strategy.
Coordinate individual family records
Dependants already in the United States may need their own change or extension process. Family members abroad may have different steps. Identify each person’s current status, travel plans and documents rather than treating the investor’s approval as a household-wide immigration event. Spouse employment depends on valid qualifying status and evidence.
Where these plans usually break
Failures cluster in four places. Work begins before any authorisation exists, on the reasoning that an owner cannot be an unauthorised worker inside a company they own — reasoning the law does not share. A change of status gets treated as travel permission, and the investor books a flight. Capital is described as committed while it sits in an arrangement permitting its return, which is the opposite of being irrevocably at risk. And the enterprise is presented as operating when it holds a lease, a bank account and little else. Hypothetical example: a campus food services operator signs supplier contracts and starts managing an installation while a change-of-status request is pending, assuming that filing had settled the question. Each of these tends to be discovered late, and usually by someone other than the person who made it.
What unwinding actually costs
Unwinding is expensive in ways no fee schedule shows. An unauthorised period of activity cannot be deleted; it has to be disclosed and explained, and that explanation attaches to every later application. A departure taken to repair a domestic filing error can trigger a consular process examining the whole enterprise afresh, at the moment the business record is thinnest. Funds released from an arrangement that allowed their return may need re-committing on different terms. Staff hired against an assumed start date sit idle or leave. The recurring lesson is that the cheapest correction is made while the plan is still on paper, and the most expensive is made after operations, payroll and a family relocation have all been built on one untested assumption.
