Your ambition.Your enterprise.

E-2 connects eligible treaty nationals with a substantial, committed investment in an active U.S. enterprise. Start with nationality, ownership, the business model and the evidence behind the money before planning an application or move. E-2 also has firm edges, and most disappointment comes from expecting it to do something it does not. It is a nonimmigrant category tied to a specific enterprise; it is not a permanent-residence route and does not by itself lead to a green card. It does not authorize work for other businesses, and it does not convert personal wealth into eligibility.

IN THIS GUIDE · E-2 treaty investor overview

01

Begin with nationality and control

Canadian residence does not establish treaty nationality. Identify the nationality used for the application and trace the enterprise’s owners through any holding companies. An investor must develop and direct the business, usually demonstrated through at least 50 percent ownership or another genuine means of operational control. A job title alone does not establish that authority.

02

Assess the investment in context

There is no universal E-2 dollar minimum. Substantiality depends on the qualifying investment relative to the actual cost of buying or establishing the enterprise and its ability to support successful operation. Separate funds already committed to the business from personal savings, speculative future contributions and financing that cannot count as the investor’s at-risk investment.

03

Show an enterprise that can operate

A startup needs more than an incorporation certificate and a forecast. Explain its products or services, premises where relevant, required permissions, launch arrangements and commercial activity. An acquired business needs reliable operating records and a credible transition. The enterprise must be more than marginal; distinguish supported growth assumptions from the investor’s household income needs.

04

Choose the correct process

An applicant outside the United States generally follows the consular E-2 visa process. An eligible person already in lawful U.S. status may have a USCIS change-of-status route. These are different processes: a status approval is not a visa for later travel. Review the selected route and current submission instructions before assembling the final application.

05

What the classification leaves outside

Boundaries are easier to respect once they are named. E-2 does not confer permanent residence, and time in the category does not accumulate toward it; a separate immigrant route would have to be established on its own requirements. It does not create a general work permission — the investor’s authorized activity is developing and directing the qualifying enterprise, not taking outside employment. It does not attach to a person independently of the business, so if the enterprise ceases to be real, operating and more than marginal, the foundation of the status goes with it. It does not extend Canadian residence into treaty nationality; the qualifying nationality must be held by the investor, or by owners representing at least 50 percent of the enterprise. Finally, an approval never guarantees the length of a later admission.

06

The misreading that costs the most

Passive holdings are where the category is most often misunderstood. Hypothetical example: An investor plans to buy U.S. commercial property, collect rent and describe the arrangement as a commercial real-estate advisory business. Ownership of an asset that generates income without an active operation is not the same thing as an enterprise the investor develops and directs, and funds sitting in an account or committed to an undeveloped purchase are not obviously irrevocably committed and at risk. If an advisory practice is genuinely intended, the file has to show the services, the clients or route to them, the people doing the work and the operating structure — the advisory business itself, not the property. Deciding which of the two is actually being built, before any money moves, avoids restructuring a transaction that was arranged for a different purpose.
