Does choosing a branch instead of a subsidiary favour L-1 over E-2?

THE SHORT ANSWER

A branch and a separately incorporated subsidiary create different records, but neither label alone determines the visa category. L-1 examines the qualifying organization and transfer; E-2 examines nationality, investment and direction. Review the legal entity, ownership and capital flows before assuming a particular corporate form guarantees or excludes either route. The first review should produce two separate evidence maps rather than a blended comparison. For L-1, test the related entities, the transferee's uninterrupted qualifying foreign employment year within the prior three years, and the proposed qualifying role. For E-2, test treaty nationality, ownership, capital placed at genuine commercial risk, investor direction, and a business that is not marginal.

01

Explain the L-1 relationship precisely

A branch is part of the same organization, while a subsidiary is a separate entity with the relevant ownership and control. Obtain records that establish the chosen arrangement and real operations. Counsel should connect it to the foreign employer and proposed transferee. An entity name containing branch or subsidiary does not replace proof of its actual legal and operational status. The decisive corporate record is the one that establishes ownership and control on the relevant date: share registers, membership records, formation documents, and signed transfer instruments. A brand name or common director may suggest a connection but does not prove the L-1 relationship.

02

Trace E-2 nationality and investment through the form

Identify the enterprise’s ownership nationality and how qualifying capital is placed at risk in the business. Corporate form can affect the documents needed, but it does not remove the substantiality or direction requirements. Explain who owns the funds and who has authority over the enterprise. A related-company transfer is not automatically a personally qualifying investment narrative. Hypothetical example: a terrazzo-restoration contractor owns a foreign business, plans to fund a newly incorporated U.S. venture, and also hopes to transfer a project supervisor, so the owners must decide whether the supervisor's qualifying employment and the investor's payment trail independently support one route, the other, or neither. Payroll records and bank-to-contract tracing answer different questions.

03

Choose structure with coordinated advice

Business, tax and immigration advisers should evaluate the proposed structure for their respective purposes. Preserve the facts they rely on and avoid changing the diagram without implementing the legal arrangement. Compare both routes before forming an entity solely for immigration reasons. The correct structure must support the actual business as well as the requirements of the chosen application. Compare the duration and operational consequence of each route before structuring the business around it. L-1A and L-1B normally have seven- and five-year maximum periods, while E-2 requires the continuing enterprise facts to remain supportable; neither label removes the need for a lawful source and a credible operating plan.
