Read the general pathway comparison overview
A small headcount does not produce the same legal analysis in both routes. L-1A examines whether the founder primarily performs qualifying managerial or executive duties, considering the operation’s context. E-2 examines direction and the enterprise’s required economic capacity. Compare actual work allocation and supported projections rather than inventing a universal staffing threshold. Both routes have edges the comparison should make visible. Neither is a permanent-residence route in itself, and choosing between them settles nothing about what happens afterwards. L-1 depends on a corporate relationship and prior qualifying employment that E-2 does not require; E-2 depends on treaty nationality and committed capital that L-1 does not. A plan failing on one of those cannot be rescued by relabelling it as the other.
Test who performs operational work
For L-1A, identify who handles customer service, production, administration and other routine activity so counsel can assess the founder’s actual role. Function-management cases require their own supported analysis. Outsourcing can matter to the factual picture but is not an automatic substitute for evidence. A manager title and a plan to hire later do not resolve every present role requirement.
Test the E-2 operating model
For E-2, connect capital, staffing or contractor arrangements and revenues to a credible non-marginality analysis. There is no EB-5-style ten-job quota to import into this comparison. A lean model still needs evidence of direction and economic potential. Do not assume that fewer employees make E-2 automatic or that adding an arbitrary number of positions guarantees eligibility.
Prepare a workload and funding schedule
List the tasks, responsible people, expected start dates and supported costs. Separate current operations from future growth. Use this single factual plan for both assessments so duties and budgets do not contradict each other across route discussions. If the plan is commercially unrealistic, revise the real business assumptions rather than merely changing the category label.
What neither category covers
Neither route waives its own core requirement for a founder who simply wants to run a business abroad: L-1 requires a qualifying relationship between a foreign and a U.S. entity together with a year of qualifying employment at it, while E-2 requires treaty nationality and an enterprise that is real, operating and not marginal, which the investor personally develops and directs. Neither promises permanent residence, and neither guarantees a spouse’s or child’s plans work out, since dependent rules differ between them and children cannot work in either. Hypothetical example: A soil-testing laboratory founder with no operating history abroad prefers L-1A because the capital expectation seems lighter, when there is no qualifying prior employment and no related entity to build the petition on. Establish which category the facts can actually support before comparing what each would be like to hold.
The misreadings that make a comparison useless
Comparisons collapse when the categories are scored on the wrong criteria. Treating E-2 as a small-business route and L-1A as a corporate one describes typical users rather than legal requirements. Importing a job-creation quota from EB-5 into either analysis invents a test neither applies. Reading a lean team as automatically fatal to L-1A, or automatically favourable to E-2, substitutes a rule of thumb for the assessment each category actually calls for. Assume nothing transfers between them: evidence assembled for one route often needs rebuilding for the other, and a plan written to satisfy both at once usually satisfies neither. Where the facts genuinely support both, decide on the strength of the available evidence rather than on which document set is further along.
