What evidence supports an intellectual-property contribution?

THE DIRECT ANSWER

Use ownership and assignment or licence records, relevant underlying agreements, valuation support and evidence of commercial use. Explain exactly which rights the enterprise receives and any restrictions affecting their value or availability.

Make the claim reproducible

A reviewer should be able to connect the asset, owner, transfer and amount without relying solely on the founder’s assertion. Where value is uncertain, identify that uncertainty and seek appropriate assessment rather than inventing precision. Add operating evidence showing how the business uses the rights, and document the other capital necessary to deliver the product or service.

Every document in this bundle is an act by a particular person, and the file should make that visible. An assignment shows the owner acting; an employment or contractor agreement shows what that person could lawfully assign; a valuation shows who assessed the asset and on what basis; an operating record shows who uses the right in the business. Hypothetical example: a telehealth platform supplies a licence executed by an officer who, under the shareholders’ agreement, needed an approval the file does not contain, so the document records an act nobody has confirmed was authorised.

Where the investor and the creator differ, the chain between them should be visible without narration, and a valuer’s independence and method matter as much as the figure reached.
