A reorganization can change who controls the petitioner, where the manager sits and what work the role involves. This guide focuses on recognizing changes that need immigration review before the employer assumes an existing L-1A approval covers the new arrangement. Evidence is what settles this. A reorganisation is described in words by everyone involved, but the immigration question turns on documents that show, on their face, who owns which entity after the transaction, which operation abroad continues, and what the transferee will actually do. Announcements, draft charts and internal titles do not carry that weight.

Start with the L-1A eligibility and application overview

01

Compare the approved and proposed structures

Prepare dated before-and-after charts showing employers, ownership and reporting lines. Identify whether the transaction changes legal entities or only internal management. Both can matter to the facts supporting the petition, but they are not the same issue. Give counsel the actual documents and effective dates before implementation.

02

Assess ownership and control changes

USCIS guidance calls for an amended petition for changes in ownership and control after adjudication. Do not assume a brand name or continued payroll means the qualifying relationship is unaffected. Trace the revised foreign-U.S. relationship and identify which organization abroad will continue doing business after the transaction.

03

Reassess the person’s duties

A manager moved into hands-on delivery may no longer perform the role described in the petition. Conversely, a new title without a real duty change may have limited significance. Explain responsibilities, authority and support under the proposed organization so counsel can assess whether a material change or other filing issue exists.

04

Coordinate the employee and family plan

Collect approval notices and admission records alongside the business documents. A corporate effective date is not automatically an immigration authorization date. Ask counsel to identify required filings and any implications for travel, dependents or employment, then keep the company’s records consistent with the arrangement actually implemented.

05

Which record proves the qualifying relationship

Ownership is proved by instruments rather than by descriptions: share registers, executed purchase or subscription agreements, resolutions and, where applicable, the closing records showing when control actually passed. Each should display the parties, the effective date and the resulting holdings on its face, without requiring a reader to infer them from a summary. Hypothetical example: a medical-device distribution group tells counsel that its Canadian parent still owns the U.S. subsidiary, and the executed documents show the shares moved to a third holding company at closing, so the qualifying relationship described in the approved petition is no longer the one that exists. Where a document remains a draft, label it a draft and replace it when signed.

06

Evidence that the role is still managerial or executive

A title proves nothing about duties. What carries weight is the organisation the manager directs: reporting lines with named positions, the function each subordinate performs, the decisions the transferee makes without seeking approval, and authority over hiring, budgets or a recognised function. After a reorganisation, produce the current version of that evidence rather than the version filed with the original petition. If the manager has absorbed hands-on delivery work because a team was consolidated, the accurate record shows that, and counsel needs it in that form rather than in a tidied version prepared for an audience. L-1A remains available for a managerial or executive role and L-1B for specialised knowledge; the evidence, not the preferred label, decides which description the facts support.
