Does my L-1A approval cover a later reorganization?

THE DIRECT ANSWER

Not automatically. Changes to ownership, control, employer or the facts of the role may require a new assessment and appropriate filing. USCIS specifically addresses amended petitions for post-approval ownership and control changes.

Compare facts rather than names

A company can keep the same brand while its legal relationship changes. Prepare before-and-after structures and the beneficiary’s revised duties for counsel. Confirm continued business abroad and whether the U.S.

position remains primarily managerial or executive. The correct response depends on the actual change; do not assume that an unexpired approval notice authorizes every new organizational arrangement. Documents settle this question in a way that assurances cannot.

Ask for the register or instrument showing current ownership of both entities, and for evidence that the operation abroad continues to do business rather than existing only as a name. Hypothetical example: a veterinary clinic group keeps the same signage and the same payroll provider through an internal reorganisation, and its shareholding records show the Canadian and U.S. arms now held by separate unrelated owners; nothing visible changed, but the relationship the petition relied on did.

The qualifying year of employment abroad is proved by employment and payroll records covering the relevant period, and the qualifying relationship has to exist and continue, not merely to have existed when the petition was approved.
