What documents support an E-2 ownership chain?

THE DIRECT ANSWER

Combine ownership registers, share records and governing documents for each entity with appropriate nationality evidence for the relevant individual owners. A chart is useful only when the underlying records support it.

Account for the current structure

Include recent transfers or financing that changed percentages and explain any discrepancy between historical certificates and the current capital table. Identify relevant U.S. permanent-resident ownership for review.

Add the investor’s management rights separately so nationality and direction are both addressed. Do not rely on incorporation jurisdiction, business address or an informal description of the company as Canadian. Expect the output to name the record required from each entity in the chain rather than a general request for corporate documents.

For each layer that means the ownership register or share record, the governing document and the instrument evidencing any recent change. Include transfers and financing that moved proportions, and explain any discrepancy between historical certificates and the current capital table, because those two disagreeing is ordinary and unexplained is not. Nationality evidence attaches to individuals rather than entities, so the request list should identify which individuals it is needed from and who will approach them.

Ask what happens if an owner declines to provide it, since that is a live possibility in a structure with outside investors and is better identified early. A chart supports navigation and does not evidence ownership.
