IN THIS GUIDE · Treaty nationality through layered ownership
Start with the E-2 eligibility and application overview
Start with the individual applicant
Identify the applicant’s citizenship and the treaty nationality used for the case. Canadian permanent residence alone does not establish Canadian treaty nationality. Dual citizenship can raise a choice of qualifying nationality under the E rules. Use identity evidence and current official treaty guidance rather than inferring citizenship from residence or a company’s address.
Trace through intermediate entities
Follow share ownership through every holding company to the relevant individual owners. A Canadian-incorporated parent is not necessarily Canadian for E purposes simply because it was formed there. Record ownership percentages, nationalities and any U.S. permanent-resident ownership that requires different treatment under State Department guidance.
Keep nationality and direction distinct
The enterprise needs qualifying treaty ownership, while the investor must be positioned to develop and direct it. A chart showing nationalities does not prove management authority, and management authority does not erase a nationality shortfall. Supply governance records supporting the applicant’s actual role alongside the ownership analysis.
Review changes to the structure
New shareholders, transfers and restructuring can alter the analysis. Use the final capital table and executed documents rather than an early fundraising slide. If the enterprise plans E employees, their nationality and qualifying role require separate review; a company’s investor case does not automatically authorize every proposed transfer or hire.
What a nationality review produces
A first review of treaty nationality should produce a traced chain rather than a conclusion, because the conclusion is only as good as the tracing behind it. Expect three outputs. The first is the applicant own position: the citizenship relied on for the case, evidenced by document, with Canadian permanent residence recorded separately since residence is not nationality. The second is the enterprise position, following ownership through every intermediate entity to the individual owners who ultimately hold it, with each owner nationality identified and the proportion recorded. The third is a list of what could not be established, which in layered structures is usually a minority block held through a vehicle nobody has documents for. That list matters, because an untraced holding can be the one that changes the answer. The review should also confirm that enterprise nationality and the requirement that the investor develop and direct the enterprise are being addressed separately, since a person can satisfy one and not the other, and the investment must in any event be substantial in proportion to the enterprise, irrevocably committed and at risk.
Hypothetical example: a Canadian name and an untraced holding
Hypothetical example: a diagnostics laboratory venture is held by a Canadian-incorporated parent whose shares are owned by two individuals and one investment vehicle registered elsewhere. The first review traces the two individuals quickly and records their citizenship from documents. The vehicle is the finding: until its ultimate individual owners and their nationalities are established, enterprise treaty nationality cannot be assessed, and the Canadian incorporation of the parent tells nobody anything about it. The output is a request addressed to a specific person for a specific record, with a note of what the answer would mean either way. Expect the review to raise two further points at the same time. Guidance addresses dual nationals and excludes U.S. lawful permanent residents from counting toward treaty ownership, so the question is not simply where each owner lives. And a chart circulated internally is a navigation aid, while the registers and share records beneath it are what a nationality finding rests on.
