Read the general pathway comparison overview
New financing can alter control, treaty ownership and corporate relationships. Those changes can affect L-1 and E-2 differently. Review the post-financing rights and percentages before assuming the founder’s original category remains suitable, and preserve the actual term sheet and executed documents rather than relying on a pre-investment ownership chart. Compare the legal prerequisites before comparing convenience. L-1 depends on related organizations and an employee’s qualifying foreign-employment period; E-2 depends on treaty nationality, a real non-marginal enterprise, committed capital exposed to loss, and investor direction. Hypothetical example: A harpsichord-restoration business receives outside financing that leaves its original owner with operational influence but reduced voting rights. The decision is whether the post-closing records still support the corporate relationship for L-1, treaty ownership for E-2, both, or neither.
Model the L-1 relationship after financing
Identify whether the foreign and U.S. entities remain parent, subsidiary, branch or qualifying affiliates under the actual ownership and control. Common branding does not repair a broken relationship. Counsel should examine voting and control provisions as well as percentages. A financing round that leaves the founder involved in both businesses may still change the legal relationship the transfer requires. Produce a post-closing ownership-and-control chart using signed documents, not the investor presentation. For L-1, identify who controls the foreign and U.S. entities after the transaction and whether that relationship is supported by the rights actually granted.
Model E-2 nationality and direction
Trace the new owners’ relevant nationalities and the founder’s authority after dilution. A capital injection can strengthen the business financially while raising a separate treaty-ownership or control issue. Do not assume that more enterprise funding necessarily strengthens every immigration element. Review the investor’s actual rights and capital arrangements against the changed ownership structure before finalizing the financing plan. Calculate treaty ownership from the relevant owners’ nationalities and review the investor’s practical ability to direct the enterprise. More money may fund operations while also changing nationality or control in a way that requires a different immigration decision.
Evaluate changes before acting on old approval
If an application or status already exists, ask counsel what the proposed change requires under the applicable procedure. Keep signed amendments and effective dates, and distinguish proposals from completed transactions. Business and securities advice remain separate needs. Neither route should be treated as permanently fixed by the original share structure once material ownership facts have changed. Pause before implementing a financing change if it could affect an existing petition, status, or planned application. The record that settles the question is usually the executed subscription, shareholder agreement, and corporate approval, with the effective date clearly identified.
Hypothetical example: a financing round that moved both answers
Hypothetical example: a semiconductor test-equipment venture raises a round that introduces new shareholders and revises the board, and the founders assume an earlier assessment still holds because the business has not changed. Both routes may have moved. For L-1, the qualifying relationship between the foreign employer and the U.S. entity depends on ownership and control after the round. For E-2, the enterprise treaty nationality follows its ownership, and new investors can alter it in a single closing. The earliest signal is a term sheet nobody has sent to immigration counsel. Send the proposed terms before signing rather than the executed documents afterwards, and treat an approval obtained under a prior structure as evidence about that structure.
