THE SHORT ANSWER

A seasonal business needs a credible cash plan for quiet months, but projected future spending is not automatically qualifying invested capital. Distinguish funds actually committed from reserves and forecasts. Use the operating cycle to explain the budget instead of choosing an arbitrary amount intended only to make the application look stronger. Choose whether the next dollar is committed, held as a reserve, or excluded until the transaction is clear. E-2 examines capital irrevocably placed at commercial risk in a real non-marginal enterprise, with the investor directing it; a target budget does not prove those facts.

01

Map one operating cycle

List when deposits, inventory, wages and premises costs are due and when customer receipts are expected. Support the pattern with relevant operating history or grounded market assumptions. Do not smooth seasonal activity into identical monthly sales if that hides the funding gap. The resulting schedule explains business needs without treating every forecast expense as money already invested. List what each payment buys, who receives it, and whether it is refundable. A signed agreement can establish a commitment that a spending forecast cannot.

02

Identify how the gap is funded

Connect paid expenses and documented commitments to the capital records. Show separately funds held for later use and any financing requiring legal review. A business account balance is not automatically equivalent to an irrevocable investment. Counsel should assess the specific arrangement while the financial plan explains how the enterprise can operate through periods of lower revenue. Separate operating reserves from financing that has repayment or security terms. Reconcile statements and confirmations so the source and use are intelligible.

03

Test non-marginality beyond peak months

Use the full cycle when explaining expected economic capacity rather than relying on a profitable opening weekend. Staffing and revenue assumptions should be consistent with the business’s actual seasonality. E-2 has no universal job quota or fixed investment number that cures weak projections. Preserve later operating results so a future review can compare the original plan with what occurred. Hypothetical example: A grain-bin sensor manufacturer pays a non-refundable prototype fee but keeps its production order cancellable. The investor must not describe both payments as equally committed.
