Is the purchase price the full E-2 budget?

THE DIRECT ANSWER

No. Separate the price from closing expenses, commercial diligence, transfer costs, operating cash, government application fees and professional immigration preparation. Not every item in the overall budget necessarily counts as qualifying investment.

Account for the handover

Identify obligations beginning at closing, such as payroll, premises and supplier payments, and any additional funds needed before customer receipts arrive. Show which amounts come from the investor and which are financed. Check current government charges for the chosen process and dependants.

This gives a realistic cash requirement without presenting a total transaction price as an automatic E-2 threshold. The price is the beginning of the budget rather than the whole of it. Add the costs of taking over: professional fees for due diligence and the transaction, any licence or permit application required in the buyer's own name, deposits demanded afresh by landlords, suppliers or utilities, insurance placed on new terms, and the working capital needed to fund operations from the first day.

Add the handover itself, including any period during which the seller is retained. Then allow for the cost of the transition being imperfect, since customer attrition, a supplier renegotiating and a key employee leaving are common enough to plan for. Government and professional charges relating to the immigration process are separate again and vary with the procedure and the number of family applicants, so verify them against current official information rather than an earlier estimate.
