IN THIS GUIDE · Using proceeds from a property sale

Start with the EB-5 eligibility and application overview

01

Start before the sale agreement

A sale contract alone begins the history too late. Gather title or ownership evidence, the original acquisition documents and records explaining how the property was funded. Where ownership changed through inheritance, gift or a family arrangement, trace that step too. The goal is a supported explanation of the asset’s lawful origin, not simply proof that a buyer paid.

02

Follow gross price to net proceeds

Closing adjustments, mortgage discharge, taxes and professional charges can make the amount received substantially different from the advertised sale price. Preserve the closing statement and payout records. Match net proceeds to the receiving bank account before following later transfers. This prevents a proposed investment budget from relying on money that was paid to creditors or other owners.

03

Clarify shared ownership

Where several people own the property, identify the investor’s entitlement to the sale proceeds. A spouse or relative transferring their share may create an additional gift or loan question. Do not present the entire sale price as the investor’s personal capital without support. Use ownership records and the settlement distribution to explain whose funds are entering the investment.

04

Keep housing decisions separate

Selling a home can release capital, but it does not grant immigration status or make a U.S. residential purchase an EB-5 investment. Consider interim accommodation and household liquidity independently of the immigration case. Project commitment dates and family relocation should reflect actual readiness, including source records and visa stages, rather than the property closing date alone.

05

Explain how the property was acquired, not only how it was sold

A completed sale answers where the money came from most immediately, and leaves the more important question untouched. The relevant history usually starts earlier: how the investor came to own the property at all. Assemble the acquisition record — the original purchase agreement and closing statement, the source of the deposit, the mortgage that funded the balance and where the payments on it came from over the years, and any inheritance, gift or transfer through which an interest was received. Where the property was held for a long period, the accumulation of value is generally explained by that ownership history rather than by any single document. Improvements funded from other sources may also need explaining. Treat the sale as the final entry in a longer chronology, and expect the earlier entries to require the records that are hardest to retrieve.

06

Work from net proceeds and account for what reduced them

The headline price is rarely the money available. Build the figure downward from the contract price and evidence each deduction: the mortgage or line of credit discharged on closing, any second charge or lien, real estate commission, legal fees, adjustments for taxes and utilities, and any holdback retained pending conditions. The closing statement generally sets most of this out and should be kept as the anchor document. Then account separately for tax consequences, which may fall due in a later period and are a personal obligation rather than a deduction on the statement. Where the sale produced funds in a currency other than U.S. dollars, the amount ultimately available depends on conversion at the time it occurs. Planning from a gross price and discovering the shortfall afterwards is a common and avoidable difficulty.
