THE SHORT ANSWER

A shared enterprise needs a clear account of who contributed what and who controls the business. Do not present the same capital as two separate personal contributions without explanation. Each proposed investor’s eligibility should be assessed against the actual ownership, investment and management arrangements rather than a single combined bank balance. A first E-2 review should produce a source-and-path ledger for each investor, a signed governance map, and a decision about who will actively lead the enterprise. The capital must be irrevocably committed to the business and exposed to loss, not merely earmarked in a joint account. The enterprise cannot be marginal, and each investor must be able to develop and direct the venture on the actual facts.

01

Create a contribution ledger

Identify each partner’s cash or asset contribution, source, payment date and ownership rights received. Distinguish a joint account from two independently proven investments. Keep the enterprise’s total funding visible while showing the individual facts. Counsel can then assess each proposed case without needing to infer that both people supplied every dollar appearing in the shared business account. Reconcile the ledger to bank statements, transfer confirmations, purchase contracts, and ownership records. The useful question is not whose name appears on the account, but which person owned the funds and made the qualifying commitment.

02

Read the shared-control provisions

Equal ownership may support particular control arrangements, but the legal rights and practical management structure matter. Obtain the operating agreement and provisions for deadlock, delegation and removal. Do not assume that a title or informal promise gives both partners the required authority. The investment amount and ability to develop and direct should be reviewed as connected but separate requirements. Identify who can bind the business, replace a manager, approve borrowing, and stop a major transaction. Those clauses settle whether equal ownership carries operational authority or merely supplies an attractive percentage on paper.

03

Avoid a two-for-one eligibility claim

One well-funded business does not automatically establish two approvable investor applications. Review nationality, source, commitment, control and intended role for each applicant. Family derivative eligibility is another question and should not be confused with co-investor status. The resulting evidence should describe the actual arrangement, rather than redesigning the ownership narrative solely to make both people appear independently qualified. Hypothetical example: two founders buy a vehicle-sensor test facility using money from separate asset sales, but only one signs the lease and directs technicians. They must decide whether both will truly be qualifying investors or whether the filing should reflect one principal and a derivative. Dividing the same payment into two narratives would not cure the control gap.

04

Hypothetical example: one payment described twice

Hypothetical example: two partners fund a survey-services enterprise from a single joint account and each proposes to rely on the full amount as their own qualifying investment. The contribution ledger settles it: one payment, one source, one commitment, and no arithmetic makes it two. Record for each partner what was contributed, from which account, on what date and under what instrument, then reconcile the total against the enterprise cost. Where both partners genuinely intend to qualify, the ledger shows what each actually committed and the governance documents show whether each can develop and direct. Dividing the same payment into two narratives leaves the control question untouched and introduces an inconsistency the file cannot support.
