CALEDON · FUNDING AN ASSET SALE

How does selling an asset affect the route comparison?

THE SHORT ANSWER

An anticipated sale can fund either plan without determining which route is appropriate. Separate the asset decision from immigration eligibility and distinguish projected proceeds from available money. Compare the consequences of committing those proceeds to an at-risk EB-5 investment with making the Gold Card gift under its current terms.

01

Establish what can actually be funded

Identify the asset owner, proposed transaction and expected net proceeds with qualified advisers. Keep valuations, draft agreements and completed sales clearly labelled. A budget built on an unrealised price does not show that funds will be available when either programme or an investment agreement requires them.

02

Compare the destination of the proceeds

For an EB-5 proposal, examine the actual enterprise terms and investment risks. For Gold Card, recognise the government-gift mechanism rather than treating it as a portfolio holding. Ask about financial and tax consequences of the sale and each commitment without assuming that a future immigration approval offsets an unfavourable financial outcome.

03

Preserve the evidence if the sale occurs

Keep ownership, transaction, receipt and transfer records so counsel can trace the funds. Align the evidence work with each route’s actual requirements. Do not sell solely to satisfy an invented universal pre-application rule or assume that a transaction completion date predicts when either immigration process will finish.

04

Establish the realistic net before comparing anything

A comparison built on an expected sale price will move, sometimes substantially, and every conclusion drawn from it moves with it. Establish the net figure properly first: the price realistically achievable rather than the appraisal, less the costs of sale, any charge to be discharged and the tax likely to arise, on which advice should be obtained rather than an assumption applied. Then hold back a contingency, since asset sales frequently take longer and realize less than expected. Only the remainder should enter the comparison. Where that remainder would not support one of the routes, the comparison has effectively answered itself and the analysis can be narrowed.

05

Follow the proceeds to where each route sends them

The two routes send the money to fundamentally different destinations, and setting that out beside the amounts is what makes the comparison meaningful. Under one, capital is placed at risk in a commercial enterprise, exposed to that enterprise's performance and subject to a job-creation requirement, with residence granted conditionally and conditions removed only on a later petition. Under the other, a gift is made by the applicant to the Department of Commerce, deposited in a separate Treasury fund, which is not an investment and is not returned. An applicant who has just liquidated a long-held asset is deciding what happens to the proceeds of that asset, and the destination matters at least as much as the figure.

06

Decide what happens if the sale does not complete

Asset sales fall through, and a comparison that assumes completion has no answer for the most likely disruption. Work out in advance what the position would be: whether either route remains available, whether anything already paid would be recoverable, and what the applicant would do next. Where a deposit or a professional fee has been committed on the strength of an expected sale, identify that exposure explicitly. Planning for a failed sale costs an hour and removes the worst version of the outcome, which is an applicant committed on both sides with the funding gone.
