Ownership may explain the company relationship, but it does not establish specialised knowledge. This King guide helps an owner who also performs specialist work separate business ownership, qualifying employment and the actual U.S. assignment.

IN THIS GUIDE · Owner-specialists and the role they will actually perform

Start with the L-1B eligibility and application overview

01

Keep ownership and knowledge distinct

Provide ownership and control evidence for the related businesses, then separately explain the employee’s special or advanced knowledge. Founding a company can supply relevant experience without automatically qualifying the founder for L-1B. The evidence should describe what the person knows and how it is used, not rely on their equity percentage.

02

Document the foreign employment

An owner’s salary, duties and employment history still need a clear record. Identify the employing entity and qualifying foreign work rather than equating the date shares were purchased with the start of employment. Review unusual compensation or entity arrangements carefully. Tax and corporate records should support, not contradict, the proposed employment history.

03

Choose the category from duties

An owner may primarily lead the business or may personally perform work involving specialised knowledge. Assess the actual U.S. duties before choosing L-1A or L-1B. A prestigious title does not resolve the distinction, and a hands-on owner should not be portrayed as a manager merely because ownership carries decision-making authority.

04

Explain the organisation after departure

Show how the foreign business will continue and what resources support the U.S. assignment. If the owner currently performs many roles, explain coverage realistically. Consider whether the U.S. entity is a new office and identify those additional requirements. A credible operating structure helps connect the proposed specialist role with the company’s actual business.

05

Separate the evidence of ownership from the evidence of knowledge

An owner-specialist file contains bodies of evidence answering different questions, and keeping them physically separate is what stops one being used to imply another. The ownership bundle establishes the qualifying organisation through registers, agreements and control documents. The employment bundle establishes that the person completed one continuous year of qualifying employment abroad within the three years preceding the petition, and does so through payroll records, contracts, tax filings and ordinary work product rather than through the fact of ownership. A third bundle addresses the specialized knowledge itself. That one is evidenced by what the person made or does: design records, process documentation, training materials delivered, systems built, problems resolved. Ownership contributes nothing to it. L-1B carries a five-year maximum, and an owner should plan against that from the outset. Where an owner has never been formally employed by the foreign entity, the employment bundle will be thin, and that thinness is a finding to address early rather than a gap to fill with a description of the business.

06

Hypothetical example: an owner who both leads and performs

Hypothetical example: the owner of a Canadian equine facility developed a rehabilitation and conditioning protocol used across the business and proposes to introduce it at a related U.S. operation. Two records decide which classification fits. The first is an honest breakdown of how the person actually spends working time, prepared from calendars, project records and delegation arrangements rather than from a job title. The second is the operating plan for both businesses during the assignment, showing who will run the Canadian facility and who will perform the routine work in the United States. If the breakdown shows the owner principally directing the organisation, the managerial or executive analysis applies and the seven-year maximum attaching to L-1A becomes relevant. If it shows the owner personally applying the protocol and training others in it, the specialized-knowledge analysis applies instead. Prepare both records before choosing a category, because a petition drafted around a preferred title and evidenced backwards tends to contradict the operating plan filed with it.
